Bingham Motor Co. Ltd. Business Terms and Conditions

These terms explain our relationship with you when we introduce or arrange vehicle hire / finance or asset hire / finance. They apply alongside your quotation, order form, commission disclosure and any agreement with the lender, owner or vehicle supplier. If a document conflicts with these terms, any legal or regulatory right takes priority, followed by the finance or hire agreement for matters governed by that agreement.

1 Who we serve and your protections

We serve individuals, sole traders, partnerships, companies and other legal entities. Some agreements and customers are protected by the Consumer Credit Act 1974, FCA rules, consumer law and the Financial Ombudsman Service; others are not. We will tell you where we understand an agreement to be regulated, but you should ask us before proceeding if regulatory protection is important to you. Nothing in these terms removes rights that cannot lawfully be excluded.

2 Our role and service

We are a credit broker, not a lender. We introduce customers to a panel of lenders and owners and may help arrange funding, vehicle sourcing and related fleet support. We do not search the whole market and are not independent. Unless we expressly confirm otherwise in writing, we provide information and an explanation of available options rather than independent financial advice or a personal recommendation.

The lender or owner decides whether to accept an application and sets the agreement terms. Your finance or hire agreement is with that firm. A vehicle supply agreement may be with a separate dealer or supplier. We cannot guarantee acceptance, availability, price, delivery date or credit terms until the relevant party confirms them.

3 Information and applications

You must give complete and accurate information and tell us promptly if anything material changes before the agreement is entered into. Providing false or misleading information may cause an application or order to be rejected or cancelled and may have other legal consequences.

The lender or owner normally carries out the formal creditworthiness assessment. We may collect information about your needs, circumstances and ability to meet payments, pass information to relevant firms and arrange credit-reference or identity checks. How we use personal data is explained in our Privacy Notice at [privacy notice link].

4 Quotations orders and delivery

  • A quotation is not an offer of finance and is valid only for the period stated. Prices, rentals, interest rates, taxes, incentives and vehicle availability may change before an order is accepted.
  • You become committed at the point stated in the order form or other contract. We will notify you of a material change before proceeding and obtain any agreement required.
  • Delivery dates are estimates unless expressly agreed as binding. We will provide reasonable updates about manufacturer or supplier delays and explain the available options if a material delay occurs.
  • A pre-registered vehicle will be identified before order and may have less than a full first year of vehicle tax or manufacturer warranty remaining.

5 Fees deposits and commission

Any fee or deposit payable to us, including the amount, due date and refund conditions, will be stated in the quotation or order form before you become bound. It is separate from sums payable to a lender, owner or supplier unless clearly stated otherwise.

We will receive commission, fees or other remuneration from a lender, owner or third party if an agreement is entered into. The amount or basis may differ between products or providers and will affect the amounts payable under the agreement. Where required, we will provide a separate, prominent commission disclosure in good time before the agreement. We will provide the amount or likely amount when required by law or FCA rules, including following an applicable customer request.

6 Cancellation and ending an agreement

The brokerage service, vehicle order and finance or hire agreement will be separate contracts. Cancelling one does not automatically cancel the others. Your quotation, order form and finance or hire agreement will explain the cancellation or withdrawal rights applying to each contract, including any statutory cooling-off period. Contact us before cancelling so we can explain the practical steps; this does not restrict your legal rights.

If you cancel outside an applicable free-cancellation right, we will retain a deposit or charge a cancellation amount only as permitted by the contract and law. For a consumer, any amount must be fair and reflect losses or costs that we cannot reasonably avoid. We will explain the calculation and give credit for sums recovered or losses avoided. Early termination after delivery is governed primarily by the finance or hire agreement.

7 Customer support

Tell us if you need information in a different format, extra time, another person involved or other reasonable support. If your circumstances change or you are worried about making payments, contact the lender or owner promptly and let us know if you need help reaching the right team. We will act within our role and authority.

8 Communications and marketing

We may contact you to administer an enquiry, order or agreement. We will send electronic marketing only where permitted by data-protection and electronic-marketing law. You can object or unsubscribe at any time using the details above or the link in a marketing message. Service messages will continue where necessary.

10 Responsibility and liability

We are responsible for losses that are a reasonably foreseeable result of our breach of contract or failure to use reasonable care and skill. We are not responsible for a lender's, owner's, manufacturer's or supplier's independent acts, decisions or delays unless we caused or contributed to the loss.

Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, breach of duties that cannot legally be limited, or a consumer's statutory rights. If you are acting wholly for business purposes, we are not liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings or goodwill, except where the law does not allow that exclusion.

11 General terms

If part of these terms is invalid, the remainder continues to apply. A delay in enforcing a right does not waive it. No third party may enforce these terms under the Contracts (Rights of Third Parties) Act 1999 unless the relevant contract says otherwise. English law governs these terms. Consumers retain any mandatory protections where they live and any mandatory right to bring proceedings elsewhere in the UK; otherwise, the courts of England and Wales have jurisdiction.
